USA Hospitality, Inc. — Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the websites, pages, content, features, tools, and related online or offline services provided by USA Hospitality, Inc. ("USA Hospitality", "we", "us", or "our"), including usahospitality.com (collectively, the "Services"). These Terms apply whether you access the Services as a visitor, customer, or registered account user.

By accessing or using the Services, creating an account, placing an order, requesting a quote, or otherwise interacting with the Services, you agree to be bound by these Terms and our Privacy Policy and other policies posted on the Services (collectively, the "Policies"), all of which are incorporated by reference. If you do not agree, do not use the Services.

If you are using the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and references to "you" and "your" refer to both you and that entity.

Separate agreements. If you or your organization has entered into a separate written agreement with USA Hospitality (for example, a credit application agreement, contract pricing agreement, or other executed terms), that agreement controls to the extent of any conflict.

1) Changes; Additional Terms

We may update these Terms from time to time in our sole discretion. Updates are effective when posted on the Services. Your continued use of the Services after an update constitutes acceptance of the updated Terms.

Certain features, promotions, products, or services may be governed by additional terms or requirements that we provide at the time of use or purchase. Those additional terms are incorporated by reference and will control for the specific feature, promotion, product, or service.

2) Eligibility; Permitted Use

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services and to place orders. The Services are intended for lawful commercial and consumer use within the United States, and access from jurisdictions where use is unlawful is prohibited.

You agree to use the Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

3) Accounts; Security

If we allow you to create an account (an "Account"), you are responsible for maintaining accurate, current, and complete information, and for all activities that occur under your Account. You agree not to sell, transfer, sublicense, or assign your Account or login credentials to any other person.

You are responsible for maintaining the confidentiality of your login credentials and for notifying us promptly if you suspect unauthorized access or use. We may suspend or terminate Accounts that we believe (in our discretion) are being used fraudulently, unlawfully, or in violation of these Terms.

4) Orders; Quotes; Pricing; Payment

The Services may allow you to submit orders, request quotes, and purchase products. Product descriptions, images, specifications, availability, and pricing may change without notice and may contain errors. We reserve the right to correct errors (including pricing or availability) even after an order is submitted.

  • Acceptance. Your order is an offer to purchase. We may accept, reject, cancel, or limit an order (in whole or in part) in our discretion, including due to suspected fraud, inventory constraints, pricing errors, or compliance concerns.
  • Payment. You agree to provide accurate billing and payment information and authorize us (and/or our payment processors) to charge the payment method you provide for approved transactions, including applicable taxes, shipping, handling, and other disclosed charges.
  • Taxes and fees. Taxes, shipping, freight, delivery, and service charges may be added as applicable and may vary based on destination and service level.
  • Commercial terms. Contract pricing, credit terms, and invoicing are subject to eligibility and may be governed by separate written agreements.

Product and order information on the Services is provided for general convenience and does not constitute a binding offer where prohibited by law.

5) Returns; Credits; Shipping Issues

Returns, refunds, credits, damage claims, shortages, and shipping issues are governed by our posted Returns/Refunds policy (and any supplier or carrier requirements), as well as any applicable invoice terms or separate agreements. You are responsible for inspecting deliveries upon receipt and reporting issues within the timeframes stated in the applicable policies and documents.

If a conflict exists between a posted policy, invoice terms, and a separately executed agreement, the separately executed agreement will control to the extent of the conflict.

6) Prohibited Conduct

You agree not to (and not to attempt to):

  • Use the Services in any manner that violates applicable law or regulation.
  • Interfere with, disrupt, damage, or impair the Services, servers, or networks.
  • Access or use the Services through automated means (including bots, scrapers, spiders) without our prior written consent.
  • Attempt to gain unauthorized access to accounts, systems, or data, or bypass security controls.
  • Upload or transmit malicious code (including viruses, worms, Trojan horses) or attempt denial-of-service attacks.
  • Copy, reproduce, distribute, publicly display, republish, download, or exploit any portion of the Services except as expressly permitted in these Terms.
  • Use the Services to send unsolicited marketing, spam, or deceptive communications.
  • Misrepresent your identity, affiliation, or authority, including impersonating USA Hospitality personnel or other users.

7) User Content; Reviews; Feedback

The Services may permit you to submit content such as reviews, comments, product feedback, questions, or other materials ("User Content"). You retain ownership of your User Content, but you grant USA Hospitality a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, publish, display, distribute, and otherwise exploit your User Content for operating, improving, marketing, and providing the Services, consistent with our Privacy Policy.

You represent and warrant that you own (or have necessary rights to) your User Content and that it does not infringe or violate the rights of any third party, including intellectual property, privacy, or publicity rights.

If you provide ideas, suggestions, or improvements (collectively, "Feedback"), you agree that USA Hospitality may use Feedback without restriction or compensation to you.

8) Intellectual Property; Limited License

The Services and all content, software, functionality, designs, text, graphics, logos, icons, images, product data compilations, and other materials made available through the Services (collectively, "Materials") are owned by or licensed to USA Hospitality and are protected by intellectual property and other laws.

Subject to these Terms, USA Hospitality grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for lawful purposes. Except as expressly permitted, you may not copy, modify, create derivative works, distribute, sell, license, or exploit the Materials or the Services.

USA Hospitality names, logos, and marks are trademarks of USA Hospitality. All other trademarks are the property of their respective owners. No license is granted to use any trademark except as expressly permitted by law.

9) Third-Party Links

The Services may contain links to third-party websites or resources. Those links are provided for convenience only. USA Hospitality does not control and is not responsible for third-party content, policies, or practices. Your use of third-party sites is at your own risk and subject to the third party’s terms and policies.

10) Disclaimers

THE SERVICES AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, USA HOSPITALITY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

USA HOSPITALITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL USA HOSPITALITY (OR ITS AFFILIATES, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, USA HOSPITALITY’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED (A) ONE HUNDRED U.S. DOLLARS (US $100), OR (B) THE AMOUNT YOU PAID TO USA HOSPITALITY THROUGH THE SERVICES FOR THE TRANSACTION GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

12) Indemnification

You agree to defend, indemnify, and hold harmless USA Hospitality and its affiliates, owners, officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of the Services, (b) your violation of these Terms, (c) your User Content, or (d) your violation of any rights of a third party.

13) Dispute Resolution; Arbitration; Class Action Waiver

Governing law. These Terms and any dispute arising out of or relating to the Services shall be governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

Informal resolution. Before initiating a formal dispute, you agree to contact us in writing and provide a brief description of the dispute and the relief requested. The parties will attempt to resolve the dispute in good faith.

Binding arbitration; waiver of jury trial. To the maximum extent permitted by law, and except for claims that may be brought in small claims court (if eligible) or claims seeking injunctive relief for misuse of intellectual property or unauthorized access, you and USA Hospitality agree that disputes arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration before a single arbitrator, rather than in court, and you and USA Hospitality waive the right to a trial by jury.

Class action waiver. You and USA Hospitality agree that any dispute will be brought in an individual capacity only and not as a plaintiff or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may award relief only on an individual basis.

Time limit to bring claims. To the maximum extent permitted by law, any claim arising out of or relating to the Services must be filed within one (1) year after the claim accrues, otherwise the claim is permanently barred.

14) Termination

We may suspend or terminate your access to the Services (including your Account) at any time, with or without notice, for any reason, including if we believe you violated these Terms, created risk for USA Hospitality or others, or used the Services unlawfully. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

15) Electronic Communications; E-Sign

By using the Services, you consent to receive communications from us electronically (including email and notices posted on the Services). You agree that electronic communications satisfy any legal requirement that communications be in writing. You further agree that your electronic submissions (including clicks and similar actions) may constitute your electronic signature where permitted by applicable law.

16) Miscellaneous Legal Terms

  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a business transfer or otherwise.
  • Entire agreement. These Terms and the Policies constitute the entire agreement between you and USA Hospitality regarding the Services, except for any separate executed agreement as described above.
